These Terms of Use ("Terms") govern your access to and use of the HelixGenAI website, CredencePlus platform, and related services (collectively, the "Services"). By using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and these Terms apply to the entity you represent.

You are responsible for maintaining the confidentiality of account credentials and for all activity occurring under your account. Notify HelixGenAI immediately of unauthorized use or security incidents.

We may suspend or terminate access if you violate these Terms or if your use poses security, legal, or reputational risk to HelixGenAI or other customers.

"Customer Data" means data, content, code, files, or other materials you submit to the Services. You retain ownership of Customer Data. HelixGenAI is granted a limited, revocable license to process Customer Data solely to deliver the Services, provide support, and maintain security.

You are responsible for obtaining all rights necessary to submit Customer Data and ensure it complies with laws and contractual obligations. You may not upload unlawful or malicious content, or data containing personal information without appropriate consent.

You agree not to (a) reverse engineer or access beyond authorized means; (b) disrupt or degrade the Services; (c) misrepresent your affiliation; (d) use the Services to create competing offerings; (e) breach security or privacy controls; or (f) violate export, privacy, or other applicable laws.

HelixGenAI may monitor usage to ensure compliance and investigate suspected violations.

HelixGenAI owns all intellectual property rights in the Services, including software, documentation, branding, and aggregations of anonymized insights. Except for the limited rights granted herein, no license or ownership is transferred to you.

Feedback you provide may be used to improve the Services without restriction or obligation.

Each party agrees to protect the other's confidential information with the same care it uses for its own (and at least reasonable care). Confidential information includes business plans, security details, pricing, and any non-public technical or product information.

HelixGenAI may disclose confidential information when required by law, after providing notice if legally permissible.

The Services are provided "as is" and "as available." HelixGenAI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, HelixGenAI is not liable for indirect, incidental, consequential, or punitive damages, nor for loss of profits, revenue, data, or use. HelixGenAI's total liability for any claim related to the Services will not exceed the fees paid in the 12 months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless HelixGenAI, its affiliates, and personnel from claims arising from (a) Customer Data; (b) breach of these Terms; or (c) violations of law or third-party rights, including intellectual property, privacy, or contractual rights.

HelixGenAI may suspend or terminate access immediately if you violate these Terms, fail to pay fees (if applicable), or present a security risk. Upon termination, your license to use the Services ends, but sections that by their nature should survive (e.g., confidentiality, IP ownership, indemnification) will remain in effect.

You may terminate access by written notice. Termination does not relieve you of accrued obligations or fees.

These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflicts of law rules.

Any disputes will be resolved in state or federal courts located in Wilmington, Delaware, and you consent to their jurisdiction.

HelixGenAI may update these Terms from time to time. Material changes will be communicated via email or product notification. Continued use of the Services after updated Terms take effect constitutes acceptance.
